If you wish to be considered as an investment case, we will ask you to submit materials after signing non-disclosure agreement.

- ・Company brochure
- ・Business plan(financial projection)
- ・List of current shareholders including outstanding shares, stock options, warrants, rights, etc
- ・Capitalization table
- ・Pre-value, share price, the likely investors and their amount for this round of investment. This can be combined with the above Capitalization table.
- ・Basis for calculation of stock price
- ・(Audited)
financial statements of the past three years - ・Monthly cash-flow statement (6 months in the past and future)
- ・Recent trial balance (BS/PL of up to 1 month back)
- ・Copy of Articles of incorporation
- ・Times-series resume of executive management members (CEO, Co-founders are vital) including pictures
- ・Contracts that are deemed important for the business model
(patent and license agreements, etc.) - ・Sales confirmation documents (Purchase order, contracts, etc.)
- ・Organizational chart and the legal structure, including all affiliates, if any.
- ・Short review by audit firm
- ・Audit certification
If you have an important affiliated company (a company with which you have a capital relationship of 20% or more or in which you also serve as a representative director), please also submit the following materials for the affiliated company.
